Terms and Conditions of Services

These Terms and Conditions (“Terms”) govern all services provided by R & M Systems Group, Inc. (“R&M,” “we,” “our,” or “us”). By hiring our services, requesting a proposal, or engaging with our team, you agree to be bound by these Terms.

If you do not agree with these Terms, please refrain from using our services.


1. Scope of Services

R&M provides electrical contracting, low-voltage, automation, security, audio/video, and related construction services.
The specific scope of work for each project shall be defined in:

  • A written proposal
  • A purchase order
  • A service agreement
  • Or any mutually approved project documentation

Only the services explicitly listed in the final agreement are included. Any additional work requires a written change order.


2. Estimates, Proposals & Pricing

All estimates or proposals provided by R&M:

  • Are valid for 30 days unless otherwise stated
  • May be withdrawn or modified before formal acceptance
  • Do not include unforeseen conditions unless specified

Final pricing may change if:

  • Project conditions differ from those described
  • Additional labor or materials are needed
  • Client requests modifications

All changes must be approved in writing.


3. Scheduling & Project Timeline

R&M will make reasonable efforts to meet the agreed project schedule.
However, we are not liable for delays caused by:

  • Weather conditions
  • Material shortages
  • Supplier delays
  • Inspections or government approvals
  • Client-caused delays
  • Issues outside our control

Timelines may be adjusted accordingly.


4. Client Responsibilities

Clients must ensure:

  • Access to the property or job site
  • Accurate project information
  • Availability of necessary permits (unless R&M is contracted to obtain them)
  • A safe, hazard-free work environment
  • Timely decisions and approvals

If the site is not ready or accessible, additional charges may apply.


5. Change Orders (Additional Work)

Any modification to the original scope must be documented through a Change Order.
This may include:

  • Extra labor hours
  • Additional equipment or components
  • Revisions to design or installation
  • Client-requested upgrades

Change Orders must be signed or approved electronically before work begins.


6. Warranty

R&M provides a limited labor warranty on installations, typically 1 year, unless otherwise stated.

Warranties do not apply to:

  • Components damaged by misuse, power surges, water, or third parties
  • Client-supplied materials
  • Systems altered by others after installation
  • Normal wear and tear

Manufacturer warranties apply to equipment we install.


7. Safety & Compliance

R&M operates in compliance with:

  • Local and state building codes
  • National Electrical Code (NEC)
  • Florida regulations
  • AHCA and other inspection authorities when applicable

We reserve the right to halt work if unsafe conditions arise.


8. Liability Limitation

To the maximum extent permitted by law:

  • R&M is not liable for indirect, incidental, or consequential damages
  • Our liability is limited to the amount paid for the services
  • R&M is not responsible for loss of business, revenue, or data

Clients agree to indemnify R&M against claims arising from misuse or modification of installed systems.


9. Project Completion & Final Acceptance

A project is considered complete once:

  • All work within the contracted scope is finished
  • Required inspections (if applicable) are passed
  • The client receives a completion confirmation

After acceptance, any additional work will be billed separately.


10. Service Calls & Maintenance

Service visits outside of the contracted project may:

  • Be billed hourly
  • Include diagnostic fees
  • Require advance scheduling

Emergency or after-hours service rates may apply.


11. Termination of Services

Either party may terminate the agreement if the other fails to comply with its obligations.
Upon termination:

  • Client must pay for all work completed to date
  • Materials ordered specifically for the project may be billed

R&M may retain deposits as allowed by contract terms.


12. Governing Law & Jurisdiction

These Terms shall be governed by the laws of the State of Florida, USA.
Any disputes shall be handled exclusively in the courts of Miami-Dade County, Florida.
